1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Vinculo Nexivo ("Company", "we", "us", or "our"), governing your access to and use of our proprietary trading software, website, algorithmic modules, APIs, and associated online interfaces (collectively, the "Platform").

By accessing or interacting with the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms in full. If you do not accept these Terms without reservation, you must immediately cease accessing or using the Platform.

2. Regulatory Status and Nature of Service

Vinculo Nexivo provides algorithmic computation, market data aggregation, statistical simulation, and trade signaling automation. We are not a broker-dealer, custodian, portfolio manager, or authorized financial advisor under the Financial Services and Markets Act 2000 (FSMA) or comparable overseas regulations.

The software does not provide bespoke financial, investment, tax, or legal advice. All trade executions, signals, mathematical modeling, and pre-set algorithms remain purely automated parameters configured by or selected at the discretion of the end user. You acknowledge sole responsibility for determining whether any transaction is appropriate based on your independent financial profile.

3. Eligibility and Account Onboarding

To access our platform services, you represent and warrant that:

  • You are at least 18 years of age or have reached the legal age of majority in your jurisdiction.
  • You possess full legal capacity to enter into binding agreements.
  • You are not a citizen or resident of any jurisdiction subject to comprehensive trade sanctions or embargoes administered by the United Kingdom, European Union, or United States.
  • Your use of our algorithmic interfaces complies with all local statutory laws, exchange regulations, and tax reporting requirements applicable to your residency.

4. User Responsibilities and Prohibited Activities

You agree to utilize Vinculo Nexivo exclusively for legitimate, individual or corporate trading activities. You expressly agree not to:

  • Deploy reverse-engineering scripts, decompilers, or exploit payloads targeting our automated trading codebase.
  • Inject malicious code, high-frequency network flooding, or distributed denial of service requests into platform nodes.
  • Circumvent account security verifications, rate limiters, or authentication mechanisms.
  • Utilize the Platform for fraudulent market manipulation, wash trading, spoofing, layering, or money laundering activities.
  • Sub-license, resell, or distribute platform signals or software outputs without express written authorization from Vinculo Nexivo.

5. Integration with Third-Party Brokers and Exchanges

Vinculo Nexivo connects via secure Application Programming Interfaces (APIs) to independent digital-asset exchanges and third-party brokerage institutions. We do not hold custody of your fiat capital, tokens, or digital assets. Your relationship with linked brokerage partners is governed solely by the respective third-party agreements.

We disclaim any and all liability for losses, disruptions, or delays caused by third-party broker downtime, exchange liquidity freezes, network forks, API latency, or insolvency of external custodians.

6. Intellectual Property Rights

All intellectual property rights in the Platform, including proprietary algorithms, user interface designs, mathematical models, databases, graphic marks, and documentation, are owned exclusively by Vinculo Nexivo or its licensors. Users receive a limited, revocable, non-exclusive, non-transferable licence to use the Platform strictly in compliance with these Terms.

7. Limitation of Liability and Disclaimers

To the maximum extent permitted by applicable law in England and Wales, the Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. Vinculo Nexivo disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Under no circumstances shall Vinculo Nexivo, its directors, employees, or technological affiliates be liable for any direct, indirect, consequential, punitive, or incidental losses, including lost profits, loss of capital, software downtime, execution slippage, or data corruption arising from your use of the Platform.

8. Indemnification

You agree to defend, indemnify, and hold harmless Vinculo Nexivo, its affiliates, officers, directors, agents, and contractors from and against any claims, liabilities, damages, losses, costs, and expenses (including legal fees) arising out of your breach of these Terms, unlawful conduct, or violation of third-party rights.

9. Governing Law and Dispute Resolution

These Terms, their interpretation, and any non-contractual disputes or claims arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any disputes arising under these Terms.

10. Amendments and Termination

We reserve the right to revise or modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Your continued utilization of our services following any revision constitutes acceptance of the amended terms. We may suspend or terminate your access immediately if you fail to comply with these provisions.
